CONSTITUTION
OF THE
BURLESON BASS CLUB
ARTICLE I
CLUB NAME
SECTION 1. The organization shall be known as the Burleson Bass Club.
ARTICLE II
CLUB OBJECTIVES
SECTION 1. The objectives of this non-profit are:
- To maintain a high standard of true sportsmanship and promote social relationships among members.
- To promote more successful fishing by providing information through an exchange of ideas and methods.
- From time to time to sponsor fishing tournaments for the purpose of stimulating interest and promoting healthy competition among club members and between other clubs of like nature.
- To uphold standards in conservation and ecology.
- Is and shall remain registered with the State of Texas as a non-profit organization.
ARTICLE III
MEMBERSHIP & TOURNAMENT DUES
SECTION 1. Membership is paid-up Active or Honorary member in good standing.
SECTION 2. The club may issue “Honorary Membership” to those persons deemed deserving for the honor when they have served in some unusual or outstanding capacity for the good of the club. An Honorary Member only pays for tournament dues and any big bass pot; an Honorary member has no voting rights.
SECTION 3. A member will retain their membership until and unless for just cause they deprived of it by actions of the Executive board. An expelled member shall (at the next regular meeting) have the right to appeal to the club because of the action of the Executive Board. The appeal shall be voted on by secret ballot and a majority of negative votes shall defeat the appeal.
SECTION 4. Charter members will remain charter members as long as their dues are paid.
SECTION 5. An active member is defined as a person who has paid $400 for membership and tournament dues.
SECTION 6. Annual membership and tournament fees for active members are due at the first meeting in January. Fees may be paid out in 3 installments with the first one being no less than $80. The balance, if any must be paid no later than the March club meeting. Failure to comply is automatic cancellation of the members good standing status as well as forfeiture of the rights to participate at future tournament unless or until the remaining membership fee is paid in full. No prize money will be awarded until all dues are paid.
SECTION 7. After April of each year, a new member enrolling into the club will be pro-rated in the amount of $30 membership fee, plus $38 for each remaining regular club tournament.
ARTICLE IV
BOARD/OFFICERS
SECTION 1. The officers of the club shall consist of a President, Vice-President, Secretary, Treasurer, Sergeant-at-arms and four Directors.
SECTION 2. The officers shall be elected in the following manner.
- Each year officers will be elected for a term of one (1) year. Four (4) directors will be elected for a term of one (1) year.
- The officers and directors shall be elected by majority vote of members in good standing who are present at the regular election meeting or have cast their ballot using the provision for absentee voting.
- Directors shall be nominated and elected by places.
- If no candidate for an office receives a majority of votes, the two (2) candidates with the largest number of votes will be in a run-off.
- All voting for club officers shall be accomplished by secret ballot.
- A majority ballot, as defined by Robert’s Rule of Order and this Constitution is 50% plus one.
- The President automatically becomes a seventh member Board of Directors and must vote on all board matters.
SECTION 3. When one or more vacancies occur in elective offices, the vacancy or vacancies shall be filled for the remainder of the term by a majority vote of the members of the Executive Board.
SECTION 4. Officers or Directors missing two consecutive meetings will be contacted by the President to ascertain their intention to continue to serve.
SECTION 5. Officers shall be installed at the completion of each year’s election.
ARTICLE V
DUTIES OF OFFICERS & MEMBERS
SECTION 1. The management of the club is vested in the Executive Board. During the time the club is not in session, the Executive Board shall have and exercise all powers granted to the club by the Constitution or By-Law. The executive Board shall have the power to impeach any elected officer of his duties for just cause. Such impeached officer shall have the right to appeal at the next regular club meeting of the club because of the action of the board. The appeal shall be voted on by secret ballot and a majority of negative votes shall defeat appeal.
SECTION 2. The president shall preside at all meetings, appoint committees, and be an ex-officio member of all committees and act as otherwise provided in the constitution.
SECTION 3. The Vice-President shall assimilate the information gained by all committees appointed by the President and make detailed reports with references as to their findings. In absences of the President, the Vice-President assumes the duties of the President.
SECTION 4. In absence of both the President and the Vice-President, the Secretary/Treasurer is to assume the duties of the President.
SECTION 5. The Secretary shall keep minutes of all club meetings, including Executive Board meetings and record in an adequate book and handle all correspondence of the club. The Secretary will also handle all business concerning club membership.
SECTION 6. The Treasurer shall collect all money due to the club, deposit club funds in the club’s name in a bank selected by the Executive Board and pay all duly authorized bills of the club through medium of a check countersigned by the President. The Treasurer will render monthly reports to the club. The books of the Treasurer shall be audited by a committee of three (3) appointed by the incoming President at the annual election.
SECTION 7. The Sergeant-at-arms shall maintain a roster of all members and members present each at every meeting, assist in any way needed at all meetings of the club, and return order to the meeting when needed.
SECTION 8. The Directors will assume the duties for the club to coordinate and represent the activities of which they were appointed. The directors will pick the lake for the end-year tournament.
ARTICLE VI
MEETINGS
SECTION 1. Business meetings of the club will be held the second (2) Tuesday of each month at 7:00 o’clock P.M.
SECTION 2. Special meetings of the club may be called by the President or upon written request often members of good standing. Such written request state the purpose of such special meetings.
SECTION 3. The members present at the club meeting shall constitute a quorum.
SECTION 4. A majority of members of the Executive board shall constitute a quorum and its meeting shall be as frequent as necessary to properly conduct the affairs of the circumstance.
SECTION 5. The annual election of officers shall be held at the regular business meeting in January of each year.
SECTION 6. The Executive board shall arrange a place for each meeting and advise all club members.
ARTICLE VII
ORDER OF BUSINESS
SECTION 1. So far as they are not inconsistent with this Constitution, Robert’s Rules of Order shall be the standard of parliamentary practice.
ARTICLE VIII
AMMENDMENT OR REPEAL
SECTION 1. A PROPOSAL TO AMEND OR REPEAL THIS Constitution shall be considered by the club members only after said amendment or repeal has been approved by the Executive Board and after having been read at the regular meeting. Such proposed amendment or repeal must be voted on at the next regular meeting or at a special meeting called for the purpose of changing the Constitution and By-Laws. All actions of these meetings shall be final and the amendments or repeal shall become effective immediately after being passed on by TWO-THIRDS (2/3) of the members present.
ARTICLE IX
DISCONTINUANCE
The Burleson Bass Club may dissolve and its activities discontinued upon a vote of the active members of the club at a meeting specially called for such purpose. Such meeting may be called either by the Executive boardon its own motion or upon the petition of 25% of the active members in good standing; such petition to be submitted to the Executive Board. Written notice of such meeting called by either of the manners recited above shall be made to each active member and such meeting shall not be held until the expiration of at least (30) days from the date of the mailing of such notices. Such notices shall contain information as to the date, time, and place of such meeting which shall be held in the city of Burleson, Texas and shall set forth with particularity the purpose of such meetings.
Upon dissolution of the Burleson Bass Club and the discontinuance of its activities, it shall be the responsibility of the Executive Board to liquidate the assets of the organization and to discharge all existing debts as soon as practicable. The liquidated assets of the organization, after the payment of all debts shall be distributed to the Burleson Bass Club member by a special tournament.
